FRIENDS OF THE VOLUSIA COUNTY LIBRARY C ENTER AT CITY ISLAND, INCORPORATED

BYLAWS

ARTICLE I. NAME

Section 1.  The name of this organization shall be THE FRIENDS OF THE VOLUSIA COUNTY LIBRARY CENTER AT CITY ISLAND, INCORPORATED.

ARTICLE II. PURPOSE

Section 1. The purpose of this Corporation shall be to maintain the association of persons interested in libraries; to focus public attention on the Library; to stimulate the use of the Library resources and services; to receive and solicit gifts, endowments and bequests for the Library; and to support the Library in the development of library services and facilities for the community.

ARTICLE III. MEMBERSHIP

Section 1. Any person, firm, club, or corporation interested in the purpose of this organization may become a member by paying the annual dues.

Section 2. The annual dues structure and date of payment shall be established by the Governing Board (hereafter referred to as the Board) and shall remain in effect unless and until modified by the Board.

Section 3. Each member shall be entitled to one vote.

ARTICLE IV. OFFICERS

Section 1. Officers shall be a President, Vice-President, Treasurer, Corresponding Secretary, and Recording Secretary, each of whom shall be elected annually by the general membership at the Annual Meeting. In addition, an Assistant Treasurer shall be appointed by the Board. Other officers deemed necessary may be appointed by the Board. All officers will serve one-year terms. Vacancies of offices shall be filled by appointment by the remaining members of the Board.

ARTICLE V. DUTIES OF OFFICERS

Section 1. President: To preside over and conduct meetings of the Board and the membership, and to carry out business of the organization and of the Board as required. The President shall have custody of all Friends records, other than the financial records.

Section 2. Vice President: To assist the President and to perform the duties of the President in his/her absence.

Section 3. Treasurer: To keep and maintain the general financial records, as well as all endowment records.

Section 4. Assistant Treasurer: To handle general and/or endowment funds as delegated by the treasurer, and to perform the duties of the Treasurer in his/her absence.

Section 5. Corresponding Secretary: To conduct such correspondence as may be required by the Board or the general membership.

Section 6. Recording Secretary: To record attendance and the minutes at all Board meetings and at the Annual Meeting.

ARTICLE VI. GOVERNING BOARD

Section 1. The Governing Board shall be composed of the elected officers, the Assistant Treasurer, the immediate past president, chairs of committees, and such at-large members as shall be nominated by a board member and approved by a vote of the full Board. The Regional Librarian of the Volusia County Library Center shall be an ex officio member of the Governing Board.

Section 2. The business and affairs of the Corporation shall be managed under the direction of the Board.

Section 3. The Board shall meet no fewer than six (6) times a year. Special meetings may be called by the President or by a majority vote of the Board.

Section 4. A majority of the members of the Board present at a meeting shall constitute a quorum.

ARTICLE VII. MEETINGS AND COMMITTEES

Section 1. An Annual Meeting of the membership shall be held in May. Written notice of this meeting shall be provided to the membership approximately thirty days in advance. Announcement in the newsletter may constitute acceptable written notice.

Section 2. The president shall appoint a nominating committee at least two months before the Annual Meeting. The names of the nominees must be announced to the Board and to the general membership approximately 30 days before the Annual Meeting. At the Annual Meeting additional nominations may be made from the floor with the consent of the nominees.

Section 3. The President, with the cooperation of the Board, shall appoint other committees as needed.

Section 4. The officers and immediate past president shall constitute an Executive Committee. If the full Board cannot meet and a quick decision is required, the President is authorized to act on the basis of a majority vote by the Executive Committee.

ARTICLE VIII. AMENDMENTS

Section 1. These By-Laws may be amended at any meeting of the Board by majority vote of those present, provided notice of the proposal to amend has been included in the notice of the meeting or the minutes.

ARTICLE IX. DISSOLUTION OF THE CORPORATION

Section 1. In the event of the dissolution of the Corporation, the funds of the Friends of the Volusia County Library Center at City Island Corporation shall be invested in the Volusia County Public Library Endowment Fund and earmarked for the Volusia County Library Center at City Island.
